TERMS OF USE
EFFECTIVE AS OF FEBRUARY 3RD 2025

OVERVIEW
Galactica Games, Inc., operating as ToffeeCash (along with our affiliates, referred to as “Galactica,” “Toffee,” “we,” “our,” or “us”), provides a website accessible at Toffeecash.com and linq.gg (the “Toffee Site”). We also offer a platform along with related products, services, content, and features through a web-based platform and mobile applications for iOS and Android devices (each referred to as an “App,” collectively the “Apps”), as well as through social media pages (including Facebook, Instagram, Twitter, LinkedIn, YouTube, and others).

For simplicity, the Apps, the Toffee Site, and any social media pages managed by Toffee are collectively referred to as “the Services.” By downloading, visiting, browsing, or using the Services in any manner, you (“user,” “you,” or “your”) agree to these Terms of Service (“Terms”), forming a binding agreement between you and Toffee. If you do not agree to these Terms, you must not access or use the Services.

Galactica is a financial technology company and not a bank.

CHANGES TO THESE TERMS AND THE SERVICES

We reserve the right to modify and update these Terms at our sole discretion. Any changes will take effect immediately upon being posted on the Toffee Site and/or made available through the Services, and will apply to all access and use of the Services from that point forward.

By continuing to use the Services after the revised Terms have been posted, you acknowledge and agree to the updates. As the Services are continually evolving, we may alter or discontinue any part of the Services at any time, without prior notice and at our sole discretion.

WHO MAY USE THE SERVICES

We reserve the right, at our sole discretion, to deny access to the Services to any individual or entity at any time.

It is your responsibility to ensure that your use of the Services complies with all laws, rules, and regulations that apply. Access to and use of the Services is prohibited where it violates these Terms or conflicts with any relevant laws, rules, or regulations. To download, register for, or use the Services, you must be at least 18 years old.

UNDER NO CIRCUMSTANCES SHOULD USERS SOLICIT OR PROVIDE ANY PERSONAL INFORMATION OF/FROM CHILDREN UNDER THE AGE OF 13 TO TOFFEE OR THROUGH THE SERVICES. THE SERVICES ARE NOT INTENDED FOR USE BY CHILDREN UNDER THE AGE OF 13.

LICENSE TO USE THE SERVICES
As long as you comply with these Terms, Toffee provides you with a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial purposes. This license permits you to view the Content (as defined below) made available through the Services. This license is granted solely to you and cannot be assigned or sublicensed to any other person.

ACCOUNT AND REGISTRATION
Account Creation
To gain full access to the Services, you are required to download the App and create an account. All information you provide to Toffee or any third parties in connection with your use of the Services must be accurate and complete. This includes, but is not limited to, details such as your name, address, credit, debit, or charge card numbers and expiration dates, as well as any other payment information, if applicable.


Account Eligibility

To download the App and create a Toffee account, you must: (i) be at least 13 years old, reside in the United States, and have a U.S.-based, non-VoIP mobile phone number; (ii) agree to these Terms, including our Privacy Policy and any supplemental or additional terms provided to you; and (iii) supply all requested details, such as your name, phone number, email address, and payment account information (“User Information”). Each Toffee user is limited to one account.

You affirm that all User Information you provide is accurate, truthful, up-to-date, and complete, and you agree not to falsify your identity or the information you provide. The collection, storage, use, and sharing of User Information are subject to our Privacy Policy.

In order to be eligible for real world rewards you must be over 18 years of age.  To withdraw any funds you must have a PayPal or Venmo account.  We do not discriminate on eligibility of any of our existing or future products.  We tailor different offers to different users depending on the economics provided by our partners.

Geographic Restrictions

The Services are exclusively available to users physically located within the United States of America. By using the Services, you represent and warrant that you are physically located within the United States at all times while accessing or using the Services.

VPN and Proxy Prohibition

The use of virtual private networks (VPNs), proxy servers, or any other technology that masks or alters your true location or IP address is strictly prohibited. This includes, but is not limited to:

    a) Using VPN services or software

    b) Utilizing proxy servers

    c) Employing IP masking tools

    d) Using any other technology designed to circumvent geographic restrictions

Compliance Monitoring

We reserve the right to monitor and verify your physical location and use of VPN or proxy technologies. You agree to provide accurate location information and acknowledge that we may use various methods to verify your compliance with these requirements.

Violations and Enforcement

Any violation of these location and access requirements will result in immediate enforcement actions, including but not limited to:

    a) Immediate suspension of your account

    b) Permanent blocking of access to the Services

    c) Forfeiture of any accumulated rewards, points, or benefits

    d) Prohibition from future use of the Services

No Refunds or Appeals

Any rewards, points, or benefits forfeited due to violations of these requirements will not be reinstated or compensated. Decisions regarding violations are final and not subject to appeal.

Users found to be in violation of these terms may be subject to additional penalties as permitted by applicable law.

‍Account Updates
You must notify us if any of your account information changes. If you fail to keep your account information up to date, we may suspend or terminate your account at our discretion. If you have linked your account or used any elements of our real world rewards, this is also a legal requirement of the Bank Secrecy Act.

‍Profile Information and Picture
You are prohibited from using another person’s name, or any name, location, public profile details, or image in a way that infringes on their rights, violates the law, or is deemed offensive, obscene, or otherwise inappropriate, as determined solely by Toffee. By uploading photos to the Services, you confirm and guarantee that you are the original photographer, hold all copyrights, intellectual property rights, and any other ownership rights to the photos, or have obtained explicit written consent from the applicable rights holder(s). If the photos include other individuals, you confirm and guarantee that you have obtained their explicit permission to take and share their images through the Services in compliance with these Terms. DO NOT UPLOAD PHOTOS THAT INCLUDE IMAGES OF MINORS UNDER THE AGE OF 18.

Account Security
You are accountable for all actions taken through your account, including those by unauthorized individuals. Sharing your account with others is not permitted. You must keep your password confidential, and if you are using a shared or public device, ensure you log out of your account after accessing the Services. If you suspect any unauthorized use of your account, promptly update your password and contact us immediately at support@toffeecash.com.

Account Deletion
You may delete your account by contacting us using the contact information provided below. Your account will be deleted and your funds, less any fees due, will be sent to you within 30 days of account deletion.  Account deletion will not be immediate and we are not responsible for any delays or failure to delete your account.

TOFFEE REWARDS PROGRAM
The following terms govern your participation in the Toffee Rewards Program (the “Program Terms”). By enrolling in the Toffee Rewards Program, you accept and agree to these Program Terms, which we may update or modify at our sole discretion, with or without prior notice. Additional terms and conditions related to the Toffee Rewards Program may be provided at the time of enrolment, and such terms will be considered part of and incorporated into these Program Terms.

Definitions
The following definitions apply to the Toffee Rewards Program:

Card Networks” – Visa and Mastercard
Linked Account” – an eligible card that is enrolled in the Toffee Rewards Program

“Reward Partners” - any of our gaming, advertising, merchants or IP providers that we share data with.
Service Providers” – the Service Provider providing Transaction Data for the Toffee Rewards Program.
Qualified or Qualifying Transaction” – a transaction meeting the criteria of the Toffee Rewards Program and qualifies for rewards from a “Partner” or “Participating Brand” or “Merchant” – a Brand or Merchant Partner that is available and participating in the Toffee Rewards Program and has offers available to you.

We May Ask You to Link Your Toffee Account to Plaid or other External Providers

We may, from time to time, or permanently, require you to link external data to your account. This will be clearly displayed in the app no later than the point in time that you are seeking to withdraw funds.  This requirement, will relate to cash back or rewards from us for Qualifying Transaction of goods or services from a Participating Merchant, or for referring other users to download our application (if applicable) and would require you to link at least one eligible debit or credit card (a “Payment Card”) to your Account (once linked, it is a “Linked Account”).  We work with third party providers, such as Plaid Technologies, Inc. (“Plaid”).  Plaid does not enable all debit and credit cards to be linked to your account. In addition, we determine, at our sole discretion, whether a card is eligible to be a Linked Account. For example, certain Visa, Mastercard, and American Express cards are not eligible to be linked to your account.  In order to be eligible as a Linked Account, it must be issued by a U.S. bank. In addition, you may not be able to link a debit or credit card to your account if the card is already linked to certain other card-linked-offer programs offered by us or by third parties.

If you register a debit card, your transaction must be processed as a ‘credit’ (i.e., signature) transaction to make sure the transaction can be monitored. Do not use a Personal Identification Number (PIN) when paying for your purchases with your Linked Account if you want the transaction to be available for view or action in the Toffee Rewards Program.


Use of Cards and General Transaction Information

By using a Payment Card and to enable us to provide the Services, you grant us permission to share your payment information with Reward Partners, Service Partners, third-party service providers, card networks (e.g., Visa, Mastercard,) associated with both the Toffee Rewards Program and your Linked Account, as well as banks, payment processors, and financial intermediaries (collectively, the “Card-Related Parties” and “Rewards Program”)). Specifically, you authorize these Card-Related Parties to track transactions on your Payment Card(s) to identify Qualifying Transactions made with Toffee Partners, determine your eligibility for offers linked to your card, and share relevant transaction details with us. This data includes your card identifier, merchant location, transaction date, time, and amount, and enables us to activate card-linked offers and recommend offers tailored to you. You also agree that we and the Card-Related Parties may view transactions you make with Participating Merchants and that Participating Merchants may share historical transaction data with us.

We may engage service providers, including but not limited to Neopay Global Inc (“Neopay”) andPlaid, to monitor activity on your Linked Account(s). By using the Services, you authorize service providers like us and Plaid to access and transmit your personal and financial information from relevant financial institutions. You agree that your information may be transferred, stored, and processed by Plaid in line with the Plaid Privacy Policy.

You acknowledge that certain transactions may not be monitored by the Card Networks or Card-Related Parties, including PIN-based debit purchases, transactions using PIN substitutes, or any transactions not processed through Visa U.S.A. or Mastercard, payment systems. These types of transactions are ineligible for the program.

For details on how we handle your Payment Card transaction data, refer to the “Toffee Rewards Program” section of our Privacy Policy. You can opt-out of transaction monitoring by closing your account. To terminate your account and these Terms, contact Customer Support and stop using the Services. Be aware that opting out of transaction monitoring may limit or disable certain features of the Services.


Cash Back and Referral Rewards Redemptions and Minimum Rewards Level

Once you have earned at least five dollars (US $5.00) in Rewards (as defined below) in your Toffee Rewards Program account (the “Minimum Redeemable Amount”), you may choose to have Toffee pay out your Rewards using the options available in the Toffee App.  We have a lower level of one dollar (US $1.00) for using the funds to play real money games of skill that we publish and which are available in the Toffee App (the “Minimum Transferable Amount”).

The redemption options and minimum thresholds provided are subject to change at any time without prior notice, as outlined in these Terms, and you do not have a guaranteed right to any specific payout method or form. Rewards cannot be redeemed, and you are not entitled to receive cash, money, or any equivalent value, until you have met the Minimum Redeemable Amount.  If you want to play any of the real money skill games that we publish and use Rewards for that, you need to meet the Minimum Transferable Amount and you must be at least 18 years of age.  If your Rewards drop below any of these thresholds after meeting it, you must wait until your balance meets or exceeds the Minimum Redeemable Amount again to redeem your Rewards. Toffee will display the current Minimum Redeemable Amount for each payout method within the Toffee App, which will apply at that time. Toffee reserves the right to adjust the Minimum Redeemable Amount and the Minimum Transferable Amount at any time. Additionally, Toffee may impose limits on the number of Rewards you can distribute within a specific timeframe or for particular transactions, at its sole discretion.

If you choose to close your Toffee account and have Rewards that meet or exceed the Minimum Redeemable Amount, you are required to redeem your Rewards before closing the account. Should your account be terminated by Toffee, or if you fail to redeem your Rewards as required when closing your account, or if your Rewards balance is below the Minimum Redeemable Amount at that time, you will forfeit any rights to the Rewards in your account, and you will no longer be eligible to receive those Rewards.

Taxes
Your redemption of Rewards may be subject to taxes under applicable federal, state, and local tax laws. You are solely responsible for any tax obligations (including tax reporting obligations) that arise from the redemption of your Rewards, and you agree to provide Toffee with any information it may request to comply with these tax laws. Any tax liability (including fines, penalties, or fees) incurred by Toffee due to your actions or failure to act—such as not providing requested information—will be your sole responsibility. You further agree that Toffee has the right to deduct or offset any such tax liability from your Rewards.

User Rewards Generally
From time to time, Toffee may provide offers on select third-party products and services through the Services. When you complete transactions using the Services, you will earn rewards credited to your Toffee account. Each Offer may include additional terms and conditions and can be discontinued by Toffee at any time without prior notice. Toffee reserves the right, at its sole discretion, to: (i) decide if you are eligible to redeem an Offer; (ii) determine whether you have earned Rewards; and (iii) adjust your Rewards balance to ensure it accurately reflects the Rewards you have legitimately earned.

Toffee also has the right, at its discretion, to remove any Rewards from your account that it determines were not earned properly or were obtained in violation of these Terms. Rewards have no cash or monetary value until they are distributed, and you cannot exchange Rewards for cash, money, or anything of value except as provided by Toffee.

Rewards Expiration and Time Limits
All rewards earned through Toffee Cash must be redeemed within 30 days of earning. Any unredeemed rewards will automatically expire and be forfeited after this 30-day period. The expiration date is calculated from the date each reward is credited to your account. Expired rewards cannot be reinstated or recovered.

Rewards Ownership
Rewards issued by Toffee are solely owned by Toffee and are provided as a cashback/credit on transactions made by members of the Toffee Rewards Program. The reward balance shown in your Toffee App represents the cashback/credit funds allocated to you. Toffee retains full ownership of these funds and may adjust your rewards balance at any time at its discretion. Toffee also reserves the right to hold, withhold, or reclaim any rewards as reflected in members’ accounts.

‍THIRD-PARTY PAYMENT PROVIDERS AND REWARDS CASH-OUT
Certain payout options are facilitated by licensed money transmitters that Toffee contracts with to operate in connection with the Services (e.g., PayPal, Inc.) (“Licensed Money Transmitters”). These options are subject to additional terms and conditions tied to your account with the respective Licensed Money Transmitter (the “LMT Terms”). By choosing to distribute Rewards through an Licensed Money Transmitter, you acknowledge and agree that (i) Toffee is acting as your agent solely for payment processing purposes, and (ii) you are bound by the applicable LMT Terms provided by the Licensed Money Transmitter, which may be updated or modified by them from time to time.

Service Credits & Returns
Rewards will be revoked and your account may be suspended or closed,  if a Qualifying Transaction is refunded or canceled for any reason. If you earn Rewards from a purchase that qualifies as a transaction but is later canceled or refunded, and you have already withdrawn or redeemed the associated Rewards, Toffee may take any of the following actions: (a) void the Qualifying Transaction, (b) stop the delivery of any Rewards, gift cards, or redeemed items, (c) withhold future Rewards, (d) refund the transaction amount minus any Rewards already redeemed or withdrawn, or (e) deduct the corresponding amount from your Toffee Rewards Program account, which could result in a negative balance.

Additionally, Toffee reserves the right to apply future Rewards earned in your account toward any outstanding amounts owed under these Terms or the Toffee Rewards Program Terms. If necessary, Toffee may suspend your account until the balance is resolved or in certain cases, permanently ban you.  


ADDITIONAL TERMS FOR BONUS PROGRAMS
Toffee may occasionally provide special bonuses or incentives connected to the Services (“Bonuses”). You will be disqualified from earning Bonuses if you invite users who use the same mobile device or if you attempt to game the system by creating multiple accounts to refer yourself. While you are free to share your referral code with friends and family, Toffee may require you to remove your referral code from any public forum or website if we determine it is being misused or conflicts with our terms and conditions. Such behavior constitutes a breach of these Terms and may result in account termination, forfeiture of Bonuses, adjustments to your Rewards balance, or other appropriate actions.

If you cannot provide clear proof of your referrals—such as screenshots or examples showing where and how you shared your referral code—Toffee may refuse to award Bonuses, rescind any previously credited Bonuses, reclaim improperly earned Rewards, or take other corrective steps as deemed necessary.


‍REFERRAL PROGRAMS
The Services may feature referral programs that allow you to provide information about other individuals (each a “Referred Individual”), such as email addresses, social media profiles, names, physical addresses, and other contact details, so they can receive information or promotional offers related to the Services. You are only permitted to refer an individual or individuals who have given you their explicit consent, and you are responsible for notifying the Referred Individual that they may receive communications from the Services on your behalf.

Before sharing a Referred Individual’s contact information with us, you must obtain their consent, and you represent and warrant that Toffee is authorized to send such communications without infringing on the Referred Individual's privacy rights.


We reserve the right to limit the number of Referred Individuals you may submit and to restrict the number of communications sent to any Referred Individual at our discretion. Once you submit a Referred Individual’s contact information, it cannot be withdrawn; however, you may request that we delete it. Referred Individuals must be eligible to sign up for or use the Services. The contact information you provide must be accurate and functional so that we can reach out regarding the Services. We are not responsible for verifying the accuracy of the contact information you provide.

We may choose not to contact a Referred Individual or email address if they appear on our “do not contact” or “do not email” lists. Additionally, we reserve the right to reject a Referred Individual’s participation if: (a) the contact information you provided is invalid or incorrect, (b) the individual has breached any part of these Terms, or (c) we determine, at our sole discretion, that their participation could be detrimental to us, the Services, or any third party. We explicitly disclaim any liability for such decisions or rejections.

We may notify you to confirm when a Referred Individual has successfully registered for an account. If we determine, at our sole discretion, that you have engaged in inappropriate conduct related to a referral program, we reserve the right to suspend or discontinue your access to the Services.

THIRD-PARTY MERCHANTS
Toffee may permit the purchase of and access to products, services, and information from third-party merchants that are independent of and not controlled by Toffee. Any issues related to those products, services, or information are strictly between you and the respective merchant. Toffee does not endorse, guarantee, or warrant the quality, accuracy, completeness, or reliability of such products, services, or information, nor does Toffee ensure their availability.

Toffee is not a party to, nor responsible for, monitoring any transactions between you and third-party merchants, including the security or confidentiality of your credit card details. Any costs, charges, or obligations arising from your interactions with these merchants are solely your responsibility.

SERVICE  FEES; PAYMENTS TO THIRD PARTIES
Toffee does not currently charge you any subscription or other fees for use of the Services.

By downloading and using the Services, you agree to pay all applicable fees, taxes, and other charges due to third parties for products and services provided. To activate your account, you may be required to provide a payment method (e.g., credit, debit, or charge card number) along with related payment details to one of our third-party payment processors. You authorize the payment processor to charge your chosen payment method for any purchases of products or services made through your use of the Services.

TERM AND TERMINATION; ACCOUNT DELETION
Term
These Terms begin on the date you first use the Services and continue as long as you have an account with us and/or continue to use the Services.

Termination and Content Removal
Toffee reserves the right, at its sole discretion, to suspend, disable, delete, or terminate your account (or any part of it), or remove or block any User Content (as defined below) you have submitted, for any lawful reason. This includes situations where Toffee determines that you have violated these Terms or that your behavior or User Content may harm Toffee’s reputation or goodwill. If your account is deleted or terminated by Toffee, you are prohibited from re-registering for or accessing the Services under a different username or profile without Toffee’s explicit written permission. Toffee may also restrict your access to the Services to prevent any attempt to re-register.

Effect of Termination / Account Deletion
Termination of these Terms will result in the termination of all granted licenses. In the event of account deletion for any reason, User Content may no longer be available and Toffee is not responsible for the deletion or loss of such User Content.  Any Rewards earned will remain in our ownership.

Content‍
USER CONTENT
For the purposes of these Terms: (i) “Content” refers to any information or materials that are posted, created, provided, or otherwise made available through the Services; and (ii) “User Content” refers to any content that users (specifically you) submit or provide through the Services. Content, by definition, includes User Content.

Any User Content, whether shared publicly or sent privately, is the sole responsibility of the individual who created or submitted it. You confirm that all User Content you submit or provide is accurate, complete, current, and complies with these Terms and all applicable laws, regulations, and rules. You understand that any Content, including User Content, you access through the Services is done so at your own risk, and you are solely responsible for any resulting loss or damage to yourself or others. To the maximum extent allowed by law, we do not make any representations, warranties, or assurances regarding the accuracy, quality, or reliability of any Content you access through the Services.

‍You confirm that you either own all User Content you submit to the Services or have the necessary rights to grant Toffee the necessary permissions to ensure that Toffee does not need to acquire additional licenses or pay royalties to third parties to use your User Content. You provide Toffee with a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use your submitted User Content for any purpose, including commercial purposes, without any obligation to compensate you.

Additionally, you waive any “moral rights,” privacy rights, or rights of publicity related to your User Content. You also grant all users of the Services the right to access and view your User Content for personal, non-commercial use.

FEEDBACK AND SUGGESTIONS
Any communication from you sent to us, including but not limited to questions, comments, feedback, suggestions, or testimonials, will be considered non-confidential, and we will have no obligation to protect or keep such information private. We are free to use any ideas, concepts, know-how, or techniques shared in your communication for any purpose, including, but not limited to, operating, enhancing, and improving the Services.

You are solely responsible for the content of any information you provide to us, ensuring it is accurate, truthful, and does not infringe on the legal rights of any third party.

‍PRIVACY POLICY
Please review Toffee’s Privacy Policy (the “Privacy Policy”) at www.toffeecash.com/privacy-policy which explains how we use the information that you submit to us.

‍RIGHTS AND TERMS FOR APPS
Provided you comply with these Terms, Toffee grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use a copy of any App provided by Toffee on a mobile device that you own or control, solely for your personal, non-commercial use. You are not allowed to make copies of any App without Toffee’s prior written approval.

Except where explicitly allowed in these Terms, you are prohibited from: (i) copying, altering, or creating derivative works of the Apps; (ii) distributing, transferring, sublicensing, leasing, lending, or renting the Apps to others; (iii) reverse engineering, decompiling, or disassembling the Apps; (iv) enabling access to the App’s functionality for multiple users by any means; or (v) sublicensing the Apps to third parties in any way.

Accessing Apps from the Apple App Store and Google Play Store.

The following terms apply to any App accessed or downloaded from the App Store provided by Apple Inc. (“Apple”) or the Google Play Store provided by Google LLC (“Google”) where the Apps are now or may in the future be available. You and Toffee agree and acknowledge that with respect to any App available on the Apple App Store or Google Play Store:

  1. These Terms are solely between you and Toffee, not Apple or Google, and Toffee (not Apple or Google) is solely responsible for the App and all Content contained within it.

  2. Apple and Google have no obligation to provide any maintenance, support, or updates for the App.

  3. In the event the App fails to meet any applicable warranty, you may notify Apple or Google (depending on where the App was downloaded). To the fullest extent permitted by law, Apple and Google will have no further warranty obligations regarding the App. Any other claims, losses, damages, costs, or expenses resulting from a failure to meet any warranty will be Toffee’s sole responsibility.

  4. Toffee (not Apple or Google) is solely responsible for addressing any claims you or any third party may have related to the App or your possession and use of the App, including but not limited to:
    (a) product liability claims;
    (b) claims that the App fails to comply with applicable legal or regulatory requirements; and
    (c) claims under consumer protection, privacy, or similar laws.

  5. In the event a third party claims that the App, or your use and possession of it, infringes their intellectual property rights, Toffee (not Apple or Google) will be solely responsible for investigating, defending, settling, and resolving such claims, as required under these Terms.

  6. You represent and warrant to Toffee, Apple, and Google that:
    (i) you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country;
    (ii) you are not listed on any U.S. Government list of prohibited or restricted parties; and
    (iii) you are not otherwise subject to any national security or terrorism-related restrictions based on your location or personal circumstances.

  7. You agree to comply with all applicable third-party terms of service or agreements when using the App, including but not limited to Apple’s App Store terms and Google Play Store terms, as well as any terms from Toffee’s hosting providers.

GENERAL PROHIBITIONS AND USER CONTENT STANDARDS‍
You agree that you will not engage in any of the following activities while using Toffee services:

  • Reproduce, distribute, sell, modify, create derivative works from, decompile, reverse engineer, or disassemble any part of the Services unless you have received explicit written authorization from Toffee.

  • Post, upload, or share any User Content that:

    • infringes upon or violates the intellectual property rights or privacy rights of a third party;

    • breaches any law, regulation, or encourages actions that could lead to civil liability;

    • is fraudulent, false, deceptive, or misleading;

    • is defamatory, obscene, vulgar, pornographic, or otherwise offensive;

    • promotes hate, racism, bigotry, discrimination, harassment, or harm toward individuals or groups;

    • advocates violence, makes threats, or encourages harm toward people, animals, or entities;

    • exploits or endangers minors; or

    • promotes illegal activities, harmful behavior, or substances.

  • Download or install unauthorized third-party software or applications onto Toffee hardware unless specifically approved in writing by Toffee.

  • Display, mirror, frame, or otherwise use the Services or any part of it, including Toffee’s trademarks, logos, or proprietary information, without Toffee’s prior written consent. 

  • Access or tamper with non-public sections of the Services, including Toffee’s servers, computer systems, or the technical infrastructure managed by Toffee’s providers.

  • Probe, scan, or test the security of Toffee’s systems or networks or attempt to bypass any security protocols or authentication measures.

  • Access, scrape, search, or download Content from the Services using automated tools, software, bots, crawlers, plugins, or any unauthorized mechanism, except for general-purpose web browsers or tools expressly approved by Toffee.

  • Interfere with or disrupt the Services, including activities like sending viruses, overloading, flooding, spamming, or engaging in denial-of-service attacks.

  • Collect, store, or misuse personally identifiable information of other users obtained from the Services without their explicit consent.

  • Impersonate another person or entity or falsely represent your association or affiliation with any organization or individual.

  • Violate any applicable laws, rules, or regulations while using the Services.

  • Assist, encourage, or enable others to engage in any of the prohibited activities listed above.

By agreeing to these Terms, you acknowledge that any violation of the above restrictions may result in actions taken by Toffee, including suspension or termination of your access to the Services.


‍We reserve the right, though we are not obligated, to remove or restrict access to Toffee services, partially or completely, at any time and without prior notice. This includes situations where we, at our sole discretion, determine that a user has breached these Terms. You permit us to investigate any violations of these Terms or any behavior that impacts Toffee services. Additionally, we may work with and provide assistance to law enforcement authorities to pursue legal action against users who violate applicable laws.

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Toffee, along with its directors, officers, employees, and agents, from and against any claims, damages, losses, and expenses arising out of or related to:

  • your access to, use of, or misuse of the Services and/or Content;

  • any User Content you submit or provide, including any infringement or violation of a third party’s intellectual property rights or other legal rights; and 

  • your breach of these Terms.

Furthermore, you agree to defend, indemnify, and hold harmless Toffee, its officers, directors, employees, shareholders, Payment Card Networks, service providers, and suppliers from any claims, lawsuits, proceedings, losses, liabilities, and expenses (including, but not limited to, attorney’s fees), whether based in tort, contract, or otherwise, that arise from or are connected to:

  • any breach by you of the terms related to the Toffee Rewards Program;

  • any actions you take in connection with the Toffee Rewards Program; or

  • your use or misuse of the Toffee Rewards Program.

THIRD-PARTY LINKS
The Services may include links that direct you to third-party websites, other apps that we publish, or third-party apps, some of which will be operated independently and outside of Toffee’s control. Toffee does not endorse, manage, or review the content, products, or services provided on external sites. We are not responsible for the accuracy, legality, or appropriateness of any materials, advertisements, content, or products found on or through such third-party websites.

By using these links, you acknowledge and agree that Toffee bears no responsibility or liability, whether directly or indirectly, for any harm, loss, or damages claimed to result from accessing, using, or relying on the links, content, goods, or services offered by these third-party sites.


NO WARRANTIES
Toffee retains the right to make changes to the Services at any time and at its sole discretion. This may include, but is not limited to, updating, adding, improving, modifying, removing, or adjusting any Content or features within the Services. It is your responsibility to ensure you have the necessary tools and resources to access the Services, such as a computer, smartphone, mobile device, Internet connection, or any other access device.

While Toffee may choose to review or monitor Content available through the Services, it is under no obligation to do so. Toffee makes no promises that the Content will be appropriate for all audiences or that it will remain available for any specific duration.


The services, along with all information, data, features, content, products, and any associated services, are provided to you strictly on an “as-is” and “as available” basis. Toffee and all third parties involved in supplying the Services to you, the user, make no express or implied warranties or representations about the operation or content of the services. You acknowledge and agree that you use the services entirely at your own risk.

Toffee and all third parties involved in supplying the Services do not guarantee, promise, or warrant the accuracy, reliability, or completeness of the content available through the services (sponsored or otherwise) and hereby disclaim all implied warranties, including but not limited to warranties of merchantability, non-infringement, or fitness for a particular purpose.

Furthermore, Toffee and all third parties involved in supplying the Services do not represent or warrant that the content accessible through the Services is free from viruses, malicious code, or any other programming or routines that could damage, intercept, or extract data, systems, or personal information without your knowledge.

Without limiting the preceding warranties, Toffee does not represent or warrant:

That the Services are or will be permitted in your jurisdiction;
That the Services will be uninterrupted or error-⁠free;
That the Services will meet your personal or professional needs;
That Toffee will continue to support any particular feature of the Services; or
Concerning sites and resources linked to, or integrated with, the Services.

LIMITATION OF LIABILITY
If you encounter any issues with the Services or Content, your only recourse is to stop using them. Under no circumstances will Toffee and all third parties involved in supplying the Services be liable to you for any amount greater than $100. Additionally, they will not be responsible for any special, indirect, incidental, consequential, punitive, or exemplary damages, or any other form of damages arising from your use of, or inability to use, the Services or Content. This includes damages based on breach of contract, tort, negligence, strict liability, or any other legal theory, even if the possibility of such damages has been communicated to us.

If your jurisdiction does not allow for the exclusion or limitation of certain types of damages, this limitation may not apply to you. However, to the extent that any part of the above limitations is unenforceable, the remaining provisions will remain in full effect. These exclusions and limitations of liability are essential elements of the agreement between you and Toffee.

INTELLECTUAL PROPERTY
The Services, including all software, features, functionality, and Toffee’s Content are owned by Toffee or its licensors and are protected under U.S. and international laws governing copyrights, trademarks, patents, trade secrets, and other intellectual property rights. Between you and Toffee, Toffee holds the copyright to the arrangement, coordination, selection, and enhancement of all Content made available through the Services. Unless expressly permitted, you may not copy, modify, or use any Content for purposes beyond your personal, non-commercial use of the Services, including using such Content on other websites or networked environments.

The Toffee name, logos, designs, and associated marks are the sole and exclusive property of Toffee, whether registered or not, and may not be used in connection with any product or service that is not affiliated with us. Additionally, these marks cannot be used in a way that could create confusion regarding our endorsement, sponsorship, or affiliation with any person, product, or service. Nothing within the Services grants you any right or license to use our trademarks, trade names, or other intellectual property without our prior written consent.

Any other trademarks displayed within the Services belong to Toffee or their respective owners. Certain Content made available by our partners or service providers may also be subject to additional proprietary rights. Toffee reserves all rights not explicitly granted under these Terms.

GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of the State of Delaware, United States of America, without regard to principles of conflicts of law. 

INTERPRETATION; SEVERABILITY; WAIVER; REMEDIES
The headings used in these Terms are provided for convenience only and have no effect on the interpretation of the Terms. If any part of these Terms is deemed invalid or unenforceable by a court with proper jurisdiction, that portion will be enforced to the fullest extent allowed by law, and the rest of the Terms will remain in effect.

Toffee’s failure or delay in exercising any right under these Terms does not mean that right is waived for future use. A waiver of any provision or right will only be valid if it is in writing and signed by an authorized representative of Toffee. Toffee’s rights and remedies outlined in these Terms are cumulative, meaning they are in addition to, and do not exclude, any other legal rights or remedies available.

SUCCESSORS; ASSIGNMENT; NO THIRD-PARTY BENEFICIARIES
These Terms are legally binding and will apply to both parties. You are not allowed to transfer or assign these Terms to anyone else without Toffee’s prior written approval. However, Toffee may transfer its rights, obligations, or these Terms to another party at any time, at its sole discretion. The Services are intended solely for your personal, non-commercial use and may not be used for the benefit of any third party.

NOTICES
You agree to receive all notices, agreements, disclosures, and other communications from Toffee electronically. Toffee may contact you via email or by posting notifications through Toffe services.

These Terms do not, in any way, limit Toffee’s right to challenge any legal demands.


ENTIRE AGREEMENT
These Terms constitute a binding legal agreement between Galactica and its affiliates and governs your access and use of all features, content, and other services provided by Toffee Rewards Program.The Terms and the policies and agreements that are incorporated herein by reference, as amended, constitute the entire Terms between you and Galactica. These Terms cannot be amended by our posting of an amended version of these Terms. If any part of these Terms is held by a court of law to be invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect the original intentions of the parties, and the remaining portions shall remain in full force and effect. 

FORCE MAJEURE
Galactica’s failure to exercise or enforce any right or provision under these Terms shall not be considered a waiver of such right or provision unless explicitly agreed to in writing. Galactica will not be held liable for delays or failures to perform its obligations under these Terms due to events beyond its reasonable control. Such events may include, but are not limited to, acts of God, natural disasters, government actions, war, civil unrest, strikes, labor disputes, power outages, internet or telecommunications failures, or other unforeseen circumstances beyond Galactica’s reasonable control. In such cases, Galactica will make reasonable efforts to resume performance as soon as practicable.

NOTICE TO INTERNATIONAL USERS
The Services are operated from the United States, and by using the Services, international users agree to be governed by applicable U.S. laws, as outlined in the GOVERNING LAW AND JURISDICTION section above. If you choose to access the Services from outside the United States, you do so voluntarily and are solely responsible for complying with all local laws and regulations in your jurisdiction.

Use of Cookies.
Toffee uses cookies to provide you with the best possible experience on our website and mobile applications. By continuing to use our website or mobile apps without adjusting your browser settings, you consent to our use of cookies on Toffee’s and its affiliates’ platforms. You can change your cookie settings at any time; however, doing so may limit your ability to access certain features, or the website and mobile app may not function optimally.

Contests, and Leaderboards
From time to time, we may offer promotions, including contests, or similar activities (collectively, "Promotions"). These may include competitive features, such as leaderboards, where users can participate in skill-based games or activities. Participation in these Promotions is subject to supplemental terms and conditions, which will be clearly communicated and made available to you through our official channels and website.

Leaderboards and Rewards
Certain Promotions may feature leaderboards that rank participants based on their performance in skill-based activities. For example, users may engage in daily gameplay to earn points, which are determined by their skill and performance against other participants. Leaderboard rankings will be calculated based on each participant's top three scores within a specified time period, reflecting their skill-based achievements, additional tasks may increase scores and ranking, such as watching advertisements.  We will not include chance based tasks.

At the conclusion of each leaderboard competition, the top five participants will receive rewards (e.g., "Toffees"), as specified in the applicable supplemental terms. Rewards will be distributed in accordance with the leaderboard standings and Promotion rules.

Skill and Chance Mechanics
Our Promotions are designed to emphasize skill as the primary determinant of success. However, some elements of gameplay may involve small elements of chance, where applicable, to enhance the overall experience, but all games will be skill based. State-Specific Restrictions
Please note that participation in Promotions, including those involving leaderboards, is subject to all applicable federal, state, and local laws. Certain states, such as Florida, New York, and Rhode Island, impose restrictions on sweepstakes, contests, and similar activities. Residents of these states may be ineligible to participate or may be subject to specific limitations. We reserve the right to exclude individuals from these jurisdictions or any other area where such Promotions are prohibited or restricted.

Official Contest Rules and Disclosures

NO PURCHASE NECESSARY TO ENTER OR WIN

Participation in this contest constitutes full and unconditional agreement to these Contest Rules and the decisions of the Sponsor, which are final and binding. This contest is skill-based, and no element of chance determines the winners.

1. Eligibility

Contests are open only to legal residents of the United States who are at least 18 years of age or older at the time of entry. Participation is void where prohibited by law. Residents of Arizona, Arkansas, Louisiana, and Montana are excluded from participating in certain contests due to applicable state laws.

Employees, officers, and directors of Galactica Games Inc. ("Sponsor"), its affiliates, subsidiaries, advertising and promotion agencies, suppliers, and immediate family members (spouse, parents, siblings, and children) or members of the same household are not eligible to participate.

Participation is subject to all applicable federal, state, and local laws and regulations. By entering, participants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding.

2. Sponsor

Galactica Games Inc., located at 447 Broadway, 2nd Floor 1817, New York, NY 10013.

3. Contest Period

Contests begin daily at 08:00 AM UTC and end at 07:59 AM UTC the following day (the "Contest Period"). Prizes are awarded to competitors daily and are based on the leaderboard standings at the end of the Contest Period.

4. How to Enter

To participate:

  • Users must have an active Toffee account to participate in the contest.

  • Participants need to download the relevant game application.

  • Participants must complete at least three game to qualify for leaderboard competition.

No purchase or payment is required to enter.

The use of any automated systems, programs, scripts, macros, or similar methods—including but not limited to multiple email accounts, aliases, registrations, or logins—is strictly forbidden. Submissions discovered to involve such tactics will be rendered invalid at the Sponsor’s discretion. Participants must submit entries using their own legal names. The Sponsor retains the right, at its sole discretion, to disqualify any entry at any time that it deems to violate these Official Rules. The Sponsor is not liable for transmission failures, lack of phone or internet connectivity, cellular service disruptions, or other technical issues that may prevent entries from being submitted. Should any dispute arise regarding the identity of an entrant, the individual registered as the authorized owner of the submitted email address will be treated as the entrant. Prize recipients may be required to verify ownership of the email address associated with their entry to claim their prize

5. Winner Selection

Winners are determined based on leaderboard rankings calculated by points earned during the first three games played each day. The top 5 players with the highest scores at the close of the Contest Period are awarded prizes.

Leaderboard standings at 07:59 AM UTC are final. Disputes regarding scores or rankings will not be entertained. The Sponsor reserves the right to verify the eligibility of winners.

All individuals identified as potential winners are subject to verification by the Sponsor. The Sponsor’s decisions regarding the administration, operation, winner selection, and all related matters are conclusive and binding. An entrant will not be confirmed as a winner, regardless of any indications otherwise within the application, until the Sponsor has verified eligibility and completed the validation process. Entrants will be officially notified once verification is finalized. Screenshots or other informal evidence of winning will not be accepted as proof of eligibility. Any winner notifications issued after a system error or failure will be considered invalid and will not be recognized.

Selected winners may be required to complete and return an Affidavit of Eligibility, a Release of Liability, and a Publicity Release (where allowable by law) (collectively referred to as the “Affidavit”) within the timeframe specified by the Sponsor. Failure to do so may result in disqualification, and an alternate winner may be chosen. If a potential winner cannot be contacted after reasonable attempts, fails to meet eligibility criteria, declines or cannot accept the prize, or does not comply with these rules or Affidavit requirements, they will be disqualified. An alternate winner may then be selected based on the competition’s leaderboard or a random drawing from remaining eligible entries. The Sponsor reserves the right to amend notification or Affidavit procedures as needed for alternate winner selection, if applicable.

6. Prizes

The top 5 players in each daily competition will be awarded prizes. The prizes for each contest will vary based on the specific tournament mechanics. Details regarding competition prizes can be found in the Toffee app.

Prizes are non-transferable, and no substitution or exchange will be allowed except at the Sponsor's discretion. Winners are solely responsible for any and all taxes and fees associated with prize receipt and use. Prizes may be subject to additional terms and conditions outlined by the Sponsor.

7. Winner Notification

Winners will be notified via:

  • In-app messages.

  • Push notifications (when available and if enabled).

  • Social media announcements within two business days of contest completion.

Leaderboard results are retained for one (1) year for auditing purposes. After this period, data is deleted in accordance with the Sponsor’s privacy policies and sensitive data retention guidelines.

8. Verification and Disqualification

By entering, each participant agrees to:

a.       fully comply with these Official Rules and accept the Sponsor’s decisions as final and binding in all matters related to any and all competitions; and

b.       defend, indemnify, release, and hold harmless the Sponsor, its parent, subsidiaries, affiliates, promotional partners, and any other parties involved in the administration, advertising, or promotion of the competitions, including their respective officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from any claims, expenses, or liabilities arising from participation in any and all competitions. This includes, but is not limited to, damages or losses resulting from negligence, personal injury, death, property damage, defamation, infringement of intellectual property rights, invasion of privacy, or misuse of the prize.

Winners acknowledge that prizes are provided "as is" without any warranties, express or implied.

9. Privacy Policy

Personal information collected during entry will be used solely for contest administration and in accordance with our Privacy Policy, available at https://toffee/privacy_policy

10. General Conditions

The Sponsor, along with its subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers, and directors, assumes no responsibility for and shall have no liability concerning:

a.       entries containing inaccurate or incomplete information or entries that fail to comply with these Official Rules;

b.       prize claims, entries, or notifications that are lost, late, incomplete, unintelligible, damaged, or not received due to technical, human, or other errors;

c.       participants engaging in fraudulent or deceptive practices during entry, participation, or prize claims;

d.       technical malfunctions involving hardware, software, networks, or Internet connectivity;

e.       winners who are unable to accept the prize for any reason;

f.        delays, interruptions, or cancellations caused by natural disasters, acts of God, terrorism, weather, or other events beyond the Sponsor’s control; or

g.       any damage, injury, or loss related to the awarding, receipt, possession, use, or misuse of the prize.

The Sponsor reserves the right to disqualify any individual found to be tampering with the entry process, violating these rules, or attempting to enter multiple times using different identities or automated systems.

If unforeseen circumstances or technical difficulties compromise the integrity of any competition(s), the Sponsor may, in its sole discretion, void affected entries, suspend or terminate said competition(s) , or award prizes based on eligible entries received before termination.

11. Limitation of Liability

By participating, entrants agree to release and hold harmless the Sponsor, its affiliates, and agents from any claims, damages, or liabilities arising from participation or acceptance of any prize.

The Released Parties are not responsible for:

a.       any inaccurate or incomplete information, whether caused by entrants, printing errors, or issues with the systems or programming used in the Sweepstakes;

b.       technical failures of any type, such as malfunctions, interruptions, or disconnections affecting phone lines, networks, hardware, or software;

c.       unauthorized human interference in the entry process or operation of the Sweepstakes;

d.       errors of a technical or human nature in managing the Sweepstakes or processing registrations; or

e.       injuries, damages, or losses to persons or property arising from participation in the Sweepstakes or acceptance, use, or misuse of any prize.

If an entry is confirmed to have been accidentally deleted, lost, or corrupted, the entrant’s sole remedy is to submit another entry. Prizes will not exceed the stated number available.

12. Arbitration

Any disputes or claims related to the competitions will be resolved through binding arbitration conducted in a mutually agreed-upon location or one determined by the arbitrator, provided it is reasonably convenient for the claimant. Arbitration will follow the rules outlined in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”). Judgments based on arbitration awards may be entered in courts with proper jurisdiction. The arbitrator will apply Delaware law in accordance with the Federal Arbitration Act and applicable statutes of limitations. If arbitration costs are deemed prohibitive, the Sponsor may cover filing and hearing fees to ensure access to arbitration. Claims will be handled individually, not as part of a class action or consolidated proceeding. If any part of this arbitration clause is deemed invalid, the remainder will still apply, except where class or representative claims cannot be waived, in which case arbitration does not apply. Discovery rights in arbitration will be completed within 60 days, unless mutually extended.
